Acorn Bridge — Terms of Use

Welcome to Acorn Bridge. These Terms of Use ("Terms") govern your access to and use of the Acorn Bridge platform, services, websites, APIs and related software (collectively, the "Platform") provided by Acorns Consultancy Ltd. By accessing or using the Platform you agree to be bound by these Terms.

Key Definitions

User
Any person or entity that accesses or uses the Platform.
CompanyUser
A registered account representing a company or organizational user.
WorkerProfile
Profile records that represent construction workers and their attributes as provided or verified through the Platform.
Quotations
Requests, bids or price proposals submitted through the Platform for worker provision or site waste management services.
Services
The features and functionalities provided by the Platform including, but not limited to, submitting and managing quotations, publishing and viewing worker profiles, procurements, communications, and reporting.

Acceptance of Terms

By using the Platform you accept and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, do not use the Platform.

Eligibility

You must be legally capable of entering into binding contracts in the jurisdiction where you operate. Companies registering accounts must be authorized representatives of those companies. Minors are not permitted to register or use the Platform except through supervised, legal means permitted by local law.

Account Registration & Security

To use certain features you must register an account. You agree to provide accurate information, keep credentials secure, and notify us immediately of any unauthorized access. You are responsible for all activity on your account.

Core Services & Use Cases

Acorn Bridge provides an online platform to: (1) facilitate submission and management of quotations for construction worker provision; and (2) support quotations and workflows for site waste management. The Platform connects companies with worker profiles and provides tools to create, submit, receive, and manage quotations and related documents.

User Responsibilities

Users are responsible for collecting, verifying and maintaining any data they upload, submit or publish (including WorkerProfiles, company data, and quotation details). CompanyUsers must ensure they have the right to submit any personal data, and must comply with all applicable labor, health, safety, environmental and privacy laws when engaging workers or handling site waste. Any hazardous waste handling or disposal must be managed in compliance with applicable law and by qualified handlers; the Platform may facilitate administrative workflows but does not substitute for required permits, licenses or lawful handling of hazardous materials.

Worker Profiles, Verification & Relationship

The Platform may provide indicators of verification and allow Companies to view WorkerProfile data. Unless explicitly stated otherwise, Acorn Bridge does not employ, hire, supervise, or control any worker. WorkerProfiles are provided by Users, third parties or created from public data. Companies must perform their own due diligence before hiring or assigning work. Acorn Bridge is not the employer and disclaims any employment-related responsibility except where we explicitly offer and state an employer relationship in a separate agreement.

Quotations — Submissions, Acceptance & Records

When a CompanyUser submits a quotation through the Platform, that submission is considered an offer subject to the rules on the Platform. Acceptance of quotations and contractual formation are determined between the parties involved (Company and recipient). The Platform stores records of submissions and messaging; users are responsible for their content and should save copies of important documents.

Fees, Payments & Refunds

Certain features may be subject to fees. If fees apply, we will provide pricing information and payment terms at the point of purchase. Payments are processed using third-party payment processors. Refunds, if any, will be administered according to the published refund policy. You authorize us to charge the payment method you provide for any fees you incur.

Intellectual Property

All Platform content, branding, UI, software and documentation is the property of Acorns Consultancy Ltd or its licensors and is protected by intellectual property law. You may not copy, reverse-engineer, reproduce, or create derivative works, except as expressly permitted by a license we provide.

User Content & License

You retain ownership of content you submit. By submitting content you grant Acorns Consultancy Ltd a worldwide, non-exclusive, royalty-free license to host, store, use, reproduce, modify, and display the content for the purpose of providing the Platform and related services. You represent and warrant you have the rights to submit the content and that it does not violate any third-party rights or applicable law.

Privacy & Data Protection

Your use of personal data is governed by our Privacy Policy. You are responsible for obtaining any consents required to share personal data on the Platform. We process data as described in our Privacy Policy — please review it carefully. CompanyUsers must make reasonable efforts to ensure that any personal data of workers submitted to the Platform is accurate and lawful.

Prohibited Conduct

Users must not: (a) post illegal, fraudulent, harmful or abusive content; (b) impersonate others; (c) attempt to access others’ accounts; (d) use the Platform for unlawful purposes (including illegal waste disposal); (e) submit content that infringes IP or privacy rights; or (f) engage in activity that degrades the Platform or interferes with other users’ use.

Third-Party Services

The Platform may link to or integrate third-party services. We are not responsible for third-party content, services, or practices. Any transaction or relationship you enter into with third parties is solely between you and that third party.

Security

We take reasonable technical and organizational measures to protect Platform data, but no system is completely secure. You must maintain reasonable security practices (secure passwords, access controls). Notify us promptly of any suspected breach.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Acorns Consultancy Ltd DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Acorns Consultancy Ltd’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE PRIOR 12 MONTHS, OR USD 100, WHICHEVER IS GREATER. IN NO EVENT WILL Acorns Consultancy Ltd BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES.

Indemnification

You agree to indemnify, defend and hold harmless Acorns Consultancy Ltd and its officers, employees, agents and affiliates from any claims, damages, liabilities, costs and expenses arising from your breach of these Terms, your use of the Platform, or your violation of applicable law.

Termination & Suspension

We may suspend or terminate accounts that violate these Terms or for safety, legal or operational reasons. Users may close their accounts in accordance with the account settings and our data retention policy. Termination does not relieve you of payment obligations incurred prior to termination.

Changes to the Platform & Terms

We may modify or discontinue features or the Platform at any time. We will post updates to these Terms and provide notice where required by law. Continued use after notice constitutes acceptance of the updated Terms.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction where Acorns Consultancy Ltd is incorporated (replace with your governing law). Any dispute will be resolved in the competent courts of that jurisdiction unless otherwise required by law. Parties will attempt to resolve disputes in good faith before pursuing legal remedies.

Miscellaneous

These Terms, together with the Privacy Policy and any other agreements you enter into with us, constitute the entire agreement. If any provision is found unenforceable, the remainder will remain in effect. Headings are for convenience only.
